1. Acceptance of Terms

By accessing or using Common Laws.ai ("the Service"), operated by Neural Motion Ltd ("we", "us", or "our"), you agree to be bound by these Terms of Service. If you do not agree, you may not use the Service. You must be at least 18 years of age, or the age of majority in your jurisdiction, to create an account.

2. Description of Service

Common Laws.ai is an AI-powered legal research platform for Hong Kong law. The Service provides semantic search across case law and legislation, AI-generated headnotes, document upload and AI analysis within research conversations, and related research tools. The Service includes our Microsoft Word / Office add-in (Common Laws for Word), which lets you search, research, cite, and check authorities from within Microsoft Word. Features available to you may depend on your subscription plan and any applicable feature controls.

Microsoft Word and related Microsoft 365 / Office products are provided by Microsoft under Microsoft's own terms. We do not control Word's availability, APIs, or feature behaviour across hosts (including Word desktop and Word on the web).

3. User Accounts

You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must promptly notify us if you become aware of any unauthorised use of your account.

4. Subscription Plans

Access to certain features requires a paid subscription. Subscription fees are billed in advance on a recurring basis through our payment processor (Stripe). Subscriptions renew automatically unless cancelled before the end of the then-current billing period. You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period. Except where required by applicable law, fees already paid are non-refundable.

Use of the Word add-in's search, research, cite-check, and related cloud features requires an active Common Laws subscription (or other access we expressly grant). Installing the add-in alone does not create a subscription.

Team subscriptions are managed by a designated team administrator. Team members receive access through their team and do not hold individual paid subscriptions. We may change pricing or plan features with notice through the Service; changes apply to subsequent billing periods unless otherwise stated.

5. User Content

"User Content" means text, data, files, documents, and other materials that you upload, submit, store, or otherwise provide through the Service, including documents attached to research conversations and text from your Word or Office document that you select or that a Service feature reads in order to fulfil your request (for example search context, research questions from selection, citation strings, or document body text used for document checks).

You retain all ownership rights in User Content. These Terms do not transfer ownership of User Content to us. We do not claim ownership of your Word document. Citations, summaries, tables of authorities, research answers, and similar outputs inserted into Word remain in your Word document under your control.

By uploading or submitting User Content, you grant Neural Motion Ltd a limited, worldwide, non-exclusive, royalty-free licence to host, store, reproduce, process, transmit, and display that User Content — including text extraction, optical character recognition (OCR) where enabled, chunking, embedding, and AI analysis — solely for the purpose of providing and maintaining the Service for you. This licence ends when User Content is deleted from the Service, except for residual copies retained in backups for a limited period or as required by law.

Word document text processed through the add-in is User Content processed to provide the requested feature. Unless you separately upload a file on the website, that text is not treated the same as a research document upload (which may be indexed and retained with a research conversation as described below and in our Privacy Policy). You are responsible for assessing confidentiality, privilege, and client or organisational authority before sending matter text through the add-in.

We do not use User Content to train our own or third-party machine learning models. User Content may be processed by subprocessors (including cloud hosting and AI providers) as described in our Privacy Policy, solely to deliver the Service.

Research document uploads currently accept PDF, DOCX, DOC, ODT, or TXT files subject to size and format limits disclosed in the Service. Uploaded documents in research conversations are private to the account owner. Shared research threads do not grant collaborators access to uploaded files, extracted text, or upload citations. However, if you share a research conversation, the research narrative may still contain information derived from User Content that was analysed in that thread — share carefully.

You represent and warrant that:

  • you have all necessary rights, licences, and authority to upload and use the User Content with the Service;
  • User Content does not infringe any third-party intellectual property, privacy, confidentiality, privilege, or other rights;
  • where User Content includes confidential client or organisational material, you have obtained appropriate consent or authority to use the Service for that material; and
  • User Content does not contain malware or other harmful code, and is not unlawful.

You remain solely responsible for User Content and for any decisions you make based on AI-generated outputs derived from it, including outputs inserted into Word.

6. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose.
  • Attempt to gain unauthorised access to any part of the Service.
  • Interfere with or disrupt the Service or its infrastructure.
  • Scrape, crawl, or use automated means to extract data from the Service beyond normal usage.
  • Reverse-engineer, decompile, or attempt to derive the source code of the Service, except to the extent permitted by law.
  • Share your account credentials with others or allow others to access your account, including by remaining signed in to the Word add-in on a shared device used by others.
  • Upload User Content you do not have the right to use, or content that is unlawful, without obtaining appropriate client or organisational consent for confidential matter documents.

7. Intellectual Property

The Service, including its design, software, branding, and AI models we provide, is the intellectual property of Neural Motion Ltd or its licensors. Legal texts and judgments sourced from public records remain subject to their original status (including public domain or official publication terms). AI-generated headnotes, research narratives, and summaries are provided for informational purposes only and do not transfer ownership of underlying User Content or public legal materials to you beyond the limited right to use Service outputs in connection with your use of the Service.

8. Disclaimer

The Service is provided "as is" and "as available". We do not warrant that the Service will be uninterrupted, error-free, or that search results or AI-generated content will be accurate or complete. We may modify, suspend, or discontinue features of the Service at any time.

The Service does not constitute legal advice. You should always consult a qualified legal professional before relying on any information obtained through the Service, including citations, summaries, tables of authorities, research answers, and other content inserted into Word by the add-in.

9. Limitation of Liability

To the fullest extent permitted by law, Neural Motion Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, or goodwill, whether incurred directly or indirectly, arising from your use of the Service.

To the fullest extent permitted by law, our aggregate liability arising out of or relating to the Service shall not exceed the greater of (a) the amounts you paid us for the Service in the twelve (12) months preceding the claim, or (b) HKD 1,000.

10. Indemnification

You agree to defend, indemnify, and hold harmless Neural Motion Ltd and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to your User Content, your use of the Service, or your violation of these Terms or applicable law.

11. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice, including for violation of these Terms. Upon termination, your right to use the Service ceases immediately. You may stop using the Service and delete your account at any time. Upon account deletion, we will delete or anonymise personal information and User Content within a reasonable period, except where retention is required by law or for legitimate backup, security, or dispute-resolution purposes, as further described in our Privacy Policy.

12. Changes to Terms

We may update these Terms from time to time. When we do, we will revise the version date above and may require you to accept the updated Terms before continuing to use the Service. Your continued use of the Service after changes are posted constitutes acceptance of the updated Terms where re-acceptance is not otherwise required.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Hong Kong.
