序言

1.  原告人在2004年6月在區域法院展開本訴訟，憑藉香港法例第 57 章《僱傭條例》第43條，向被告人追討共$206,199.52($187,850為被告人的前僱員的欠薪，$9,450為勞資審裁處頒令的訟費，$8,899.52為利息)。

2.  被告人不否認欠債，但提出反申索，扣除工人工資共$312,899.50後，追討原告人共$3,687,219.20($687,219.20為工程費(連工料)，$3,000,000為2003年6月至2008年5月的業務盈利損失)。

背景事實

3.  與訟雙方對本訴訟所涉的部份背景事實，並無異議。

4.  原告人在2002年5月獲委為在深水埗、荃灣及葵青進行的政府工程的承判商。原告人其後將工程(除電器工程)分判予永威企業有限公司(“永威”)。原告人亦將電器工程分判予暉時電器工程行(“暉時”)。

5.  暉時將電器工程中的部份工程，分判予被告人。

6.  因被告人在2003年未支付其前僱員的工資。前僱員於是向勞工處及勞資審裁處(“審裁處”)求助。

7.  原告人最終同意代被告人墊支前第1段所述的欠薪、訟費及利息。

主要爭議點

8.  被告人並不否認前第1、6及7段所述的款項，但他指原告人的申索數額，不足以抵銷原告人應支付的欠款(即前第2段所述的三百多萬元)。

9.  被告人的抗辯及反申索，主要建基於以下幾點：

(a)  2003年3月至5月期間，原告人並沒有如期支付工程費給暉時，暉時亦因此沒有支付工程費給被告人；

(b)  被告人在2003年5月在原告人的寫字樓，與原告人的合約經理雷先生(“雷先生”)會面，經商談後，他與雷先生達成下述的口頭協議：

(1) 被告人須確保分判工程繼續進行；

(2) 原告人承諾將被告人應得的工程費，直接支付給被告人。但原告人必須得到暉時的同意，才可這樣做；

(c)  被告人履行了口頭協議，並將工程費單據交予原告人(即被告人所稱的 “上單”)；

(d)  原告人應支付的工程費共$1,000,118.70，但該款應扣除原告人墊支的前僱員欠薪等，共$312,899.50；

(e)  故此，反申索中的欠款餘數為$687,219.20 ($1,000,118.70 – $312,899.50)。

10.  原告人否認上述各點。原告人亦指被告人提出的反申索，或是沒有充份的記錄，或是沒有充份的理據支持。

證供的可信性

11.  本訴訟的主要爭議點，與與訟雙方對涉案事情的不同說法有關。因此，本席對證供的可信性的裁斷，對本訴訟的判決至為重要。

12.  本席是依下述的準則，作出有關證供可信性的裁斷：

“The assessement of a witness’s credibility and/or reliability is a task frequently undertaken by the court in litigation (in fact, very often an essential task). I consider the following to be the appropriate test to adopt:-

‘There are two objective tests for assessing a witness’s credibility regarding a matter to which he has testified:-

(a) whether that part of his testimony is inherently plausible or implausible;

(b) whether that part of his testimony is, in a material way, contradicted by other evidence which is undisputed or indisputable (an example often given of such evidence is contemporaneous documents).

Further, where it is shown that a witness has been discredited over one or more matters to which he has testified (using the above tests), this fact is relevant to the assessment of his overall credibility. Likewise, regard may be had to a witness’s motive for deliberately not giving truthful testimony. For example, telling the truth may prejudice his interest, or a just determination of the litigation may affect his interest.’

13.  原告人傳召了兩位證人作供：邱先生(原告人的董事)及郭先生(永威的集團代表)。被告人自己亦有作供。

與訟雙方是否曾達成口頭協議

14.  被告人聲稱，在2003年5月他在原告人的寫字樓與代表原告人的雷先生達成口頭協議。

15.  原告人傳召的兩位證人都說，他們當時並不在場。原告人沒有傳召雷先生作供。邱先生在他所作的誓章及證人陳述書說，雷先生已離職及他並不知道雷先生的行踨。

16.  法院曾在多宗判決中說，如訴訟中的一方未能呈交應呈交的證據(包括未傳召應傳召的證人)，法院可在適當情況下，對該方作出不利的推論：

“Excerpts expounding that principle from Wigmore on Evidence (Chadbourn Revision) (1979) Vol. 2, at paras. 285 and 291 were quoted in the judgment of Fuad JA in Hongkong and Shanghai Banking Corporation v Chan Yiu-wah and Another [1988] 1 HKLR 457 at 467 C-H:

‘285. Failure to produce evidence, as indicating unfavorable tenor of evidence: (1) In general … The failure to bring before the tribunal some circumstance, document, or witness, when either the party himself or his opponent claims that the facts would thereby be elucidated, serves to indicate，as the most natural inference， that the party fears to do so; and this fear is some evidence that the circumstance or document or witness, if brought, would have exposed facts unfavorable to the party. These inferences，to be sure，cannot fairly be made except upon certain conditions; and they are also open always to explanation by circumstances which make some other hypothesis a more natural one than the party’s fear of exposure. But the propriety of such an inference in general is not doubted.

The non-production of evidence that would naturally have been produced by an honest and therefore fearless claimant permits the inference that its tenor is unfavorable to the party’s cause. Ever since the case of the Chimney Sweeper’s Jewel [Armory v. Delamirie] this has been a recognized principle.

291. (3) Documents or chattels destroyed or not produced. The applicability of the general principle to an opponent's non-production or suppression of documents or chattels has always been assumed.  In England from the beginning of the recognition of the principle， some sort of inference has been acknowledged to be legitimate.  In this country, similarly, the tradition has been continued and steadily enforced, in numerous instances, where the opponent has destroyed, suppressed or refused or failed to produce a document or chattel whose contents or quality came into issue or became relevant under the issues.’ ”

17.  另方面，被告人聲稱在2003年5月達成的口頭協議，並未明文記錄在文件上。相反，被告人的原身份為暉時的分承判商。

18.  法院對訴訟中一方聲稱的口頭附屬協議(oral collateral agreement)，經常存有介心：

“When a defendant seeks to rely on a collateral agreement to defend an application for summary judgment under Order 14, the burden, Mr Chain for the plaintiffs submitted, lies strictly on him to prove such agreement. He derived support from Bank of India v. Surtani Murlidhar Parmanand [1994] 1 HKC 7, where Nazareth JA said at pp. 11I – 12C:

‘Since the defence rests upon a collateral oral agreement, the sole effect of which is to vary the settlement deed, the threshold onus is in a sense compounded by the onus to strictly prove such agreement. That onus, as approved by Lord Goff in Universal Dockyard Ltd v Trinity General Insurance Co Ltd [1989] 2 HKLR 160, 164, was propounded in the following way by Lord Moulton in Helibut, Symons & Co v Buckleton [1913] AC 30 at 47, 48:

Such collateral contracts, the sole effect of which is to vary or add to the terms of the principal contract, are therefore viewed with suspicion by the law.  They must be proved strictly.  Not only the terms of such contracts, but the existence of an animus contrahendi on the part of all the parties to them, must be clearly shown.  Any laxity on these points would enable parties to escape from the full performance of the obligations of contracts unquestionably entered into by them and more especially would have the effect of lessening the authority of written contracts by making it possible to vary them by suggesting the existence of verbal collateral agreements relating to the same subject matter.’ ”

19.  基於以上各點，與訟雙方在這一爭議點的證供可信性，各有其不足之處。

20.  上訴法庭在2008年2月5日頒布了一份判案書，撤銷了被告人在區域法院訴訟中因欠缺行動而作出的判決(及基於該判決而頒布的破產令)。該判案書提及兩份文件：

(1)  日期為2003年7月29日，暉時致原告人的信件；

(2)  日期為2004年5月17日，原告人與被告人簽署的3 份付款協議。

21.  暉時在2003年7月29日的信件中，要求原告人直接支付E4082737及E406638(在其他文件中亦稱E4066638)兩項工程的費用給被告人，並表示不會反對原告人這樣做。暉時亦表示就此兩項工程，再無申索。

22.  在此之前幾天(2003年7月24日)，原告人、被告人、暉時及3名被告人的前僱員，在勞工處簽署了一份勞資糾紛和解備忘錄，協議在核對工數及商討數額後，由原告人支付欠薪。

23.  至於2004年5月17日的3份付款協議，簡略而言是原告人同意先墊支被告人未能支付的欠薪，原告人可稍後從被告人的工程費中扣除。

24.  原告人沒有解釋導致簽署前第20(1)及(2)段所述的文件的因由。被告人則聲稱2003年7月29日的信件(及2004年5月17 日的付款協議)，與2003年5月達成的口頭協議有關。

25.  本席信納被告人的聲稱。因為除被告人聲稱的2003 年5 月達成的口頭協議外，沒有其他合理的理由，解釋為何暉時會發出2003 年7月29日的信件，將原屬暉時收取的部份工程費，轉讓給自己的一名分判商(即被告人)。

26.  2004年5月17日的3份付款協議的條款，亦與被告人聲稱的口頭協議相符。3份付款協議都提及：

“… 於[被告人]之工程糧款中扣除 …”

及

“… [被告人]日後可收取之工程糧款減去上述已收之款項 …”。

27.  由此可推論，至2004年5月17日止(被告人稱，有關工程至2003 年7月已接近完成)，被告人應收的工程費的數額，原告人認為是可核實確定的，而且，尚待由原告人支付予暉時或被告人。此外，2004年5月17日的付款協議的訂約方，分別是原告人及被告人；付款協議完全沒有提及暉時。

28.  因此，本席裁定，被告人在2003年5月曾與原告人達成口頭協議。該協議的主要條款是，原告人會直接支付被告人的分判合約訂定的工程費。該協議的作價是，被告人須確保分判工程繼續進行(本席認定這是指，被告人須繼續履行他依分判合約應完成的工程)。

29.  本席作出上述裁斷時，已考慮過原告人對被告人證供的批評，包括：

(a)  口頭協議沒有任何明確的文件或記錄支持；

(b)  被告人不是政府的相關登記冊上的承判商；

(c)  被告人作供時稱，他與雷先生商討過他應負責的分判工作項目及應收的工程費項目。但被告人存檔的文件(不論狀詞或證人陳述書)，未提及該等事項；

(d)  至2003年10月止的文件，仍顯示暉時是有關工程的承判商(被告人自己，亦以暉時名義致函政府)；

(e)  沒有有關編號為E4066638的工程的文件或記錄。

30.  原告人亦指，2004年5月17日的付款協議的相關用詞(參看前第26段)，是指原告人會在支付暉時的工程費時，先扣除曾墊支的數額，再由暉時自行支付餘額給被告人。基於以上裁斷，本席不同意這種說法。

被告人追討的工程費

31.  如前第2段所述，被告人提出反申索。其中工程費(連工料)為$687,219.20(參看前第9(d)及(e)段)。

32.  原告人聲稱無法明白被告人追討的工程費如何計算。被告人則稱，他應得的工程費，是暉時的相同項目的70%。

33.  審訊文件冊載有被告人制訂的工程費細項記錄。原告人指，這是由被告人自己預備，自圓其說的文件。

34.  本席不接納原告人的說法。基於前第20(2)、26及27段所述的付款協議，原告人早在2004年5月應已知悉，被告人應收的工程費的數額(至少是大概數額)。而且，原告人極可能亦已知悉，該款的數額不少於原告人墊支的欠薪數額。

35.  因此，本席信納被告人的聲稱，及他呈交的工程費細項記錄。

被告人追討的業務盈利損失

36.  如前第2段，被告人亦追討業務盈利損失$3,000,000。他指相關的期間是2003年6月至2008年5月，每年的損失是$600,000。

37.  被告人這方面的反申索建基於：

(1)   在2003年，他是有能力承判電器工程的承判商，而且享有良好商譽，得到工人和物料供應商的信任和支持；

(2)   由於原告人違約不支付工程費，導致被告人不能支付欠薪或物料，破壞了被告人的商譽；

(3)   假如沒有前第(2)分段所述，在一般正常情況，被告人有能力每年完成價值$6,000,000或以上的工程；

(4)   依行業慣例，承判商的利潤是15%，而工程期間約2至3 個月。

38.  本席不接納被告人上述的說法。本席同意原告人指：

(a)   被告人的計算方法過於籠統，可能僅是他自己的臆測；

(b)   被告人未能提出有關他的業務的往績的證據；

(c)    即使被告人所言屬實(即是他有能力及足夠的工程數量去賺取他指稱的盈利)，他亦須採取合理步驟減低他可能蒙受的損失(例如，向銀行借貸營運資金)。

結論

39.  基於以上各點，本席：

(1)   撤銷原告人的申索；

(2)   判令原告人須支付反申索中的$687,219.20給被告人(連利息)；

(3)   撤銷反申索中的其他部份。

訟費

40.  被告人自行應訊。本席故此不擬作出訟費命令。
